Hackathon Participation Agreement

This Hackathon Participation Agreement (the "Agreement") is entered into by and between Smart AI Tools ("Company") and any participant ("Participant") in connection with Participant's participation in the Smart AI Tools Online Hackathon (the "Hackathon") sponsored by the Company.

 

1. Participation and Eligibility

 

1.1 By submitting an application, participating, and continuing to participate in the Hackathon, the Participant agrees to be bound by the terms of this Hackathon Participation Agreement and abide by all Hackathon rules, regulations, and guidelines set forth by the Company.

 

1.2 The Company reserves the right to verify the eligibility of all Participants and to disqualify any Participant who violates the terms of this Agreement or engages in fraudulent behavior.

 

2. Hackathon Structure and Submissions

 

2.1 The Hackathon will be conducted entirely online according to:

 

* The schedule published on the Company's website

* The specific rules, requirements, and guidelines detailed at the Company's website

* Any additional rules or clarifications provided by the Company during the Hackathon

 

2.2 Before the Hackathon deadline, Participant must submit their Work to the Company for evaluation.

 

2.3 All submissions must:

- Be original work created during the Hackathon period

- Not violate any third-party intellectual property rights

- Be functional and complete as described in the submission guidelines

- Include all required documentation and source code

- Comply with all applicable laws and regulations

- Meet all specific requirements listed on the Hackathon website

 

2.4 The Company reserves the right to:

* Extend deadlines

* Modify the Hackathon structure

* Update or clarify rules and requirements

with reasonable notice to all Participants through the Hackathon website or registered email addresses.

 

3. Intellectual Property Rights

 

3.1 Any intellectual property created by the Participant during the Hackathon, including but not limited to code, designs, and artwork shall be owned solely by the Participant.

 

3.2 The Participant grants the Company a non-exclusive, worldwide, royalty-free license to:

- Access, run, test, and evaluate the complete source code of the submitted Work for judging purposes

- Display and promote the Web Application interface and functionality (excluding source code) in connection with the Hackathon, including but not limited to demonstrations, screenshots, and video recordings of the Web Application in use

- Use the Participant's name and likeness in promotional materials related to the Hackathon

 

3.3 The Participant warrants that their submission does not infringe upon any third-party intellectual property rights.

 

4. Personal Data and Privacy

 

4.1 The Company will collect and process personal data in accordance with applicable data protection laws.

 

4.2 Personal data collected may include:

- Name and contact information

- Professional background and skills

- Project documentation and submissions

- Communications during the Hackathon

- Photos or recordings of online events

 

4.3 The Company shall implement reasonable technical and organizational measures to protect personal data.

 

4.4 Participants may request access to, correction, or deletion of their personal data by contacting the Company.

 

5. Code of Conduct

 

5.1 Participants agree to:

- Treat all other Participants with respect

- Not engage in harassment, discrimination, or abusive behavior

- Not submit malicious code or engage in cyber attacks

- Respect the intellectual property rights of others

- Follow all rules and guidelines provided by the Company

 

5.2 The Company reserves the right to remove any Participant who violates the code of conduct.

 

6. Prizes and Judging

 

6.1 Prizes will be awarded according to the criteria published on the Company's website.

 

6.2 The judges' decisions are final and binding.

 

6.3 Winners are responsible for any taxes or duties associated with prizes.

7. Limitation of Liability

 

7.1 The Company shall not be liable for:

- Technical problems or failures during the Hackathon

- Lost, late, or misdirected submissions

- Any injury or damage resulting from participation

- Actions of other Participants

 

7.2 Participants acknowledge that they participate at their own risk.

 

Confidentiality

 

8.1 Each party acknowledges that they may have access to confidential information of the other party during the course of the Hackathon (the "Confidential Information"). Each party agrees to maintain the strict confidentiality of the Confidential Information of the other party and not to disclose it to any third parties without the prior written approval of the disclosing party.

 

8.2 Confidential Information includes, but is not limited to:

- Any non-public information relating to either party's business, products, services, customers, intellectual property

- Hackathon-specific information including judging criteria, evaluation methods, and technical requirements not publicly disclosed

- Unreleased features or capabilities of the Company's platforms or services

- Any information designated as confidential by the disclosing party

 

8.3 The obligations of confidentiality under this clause 7 shall:

- Continue for a period of two (2) years after the conclusion of the Hackathon

- Survive the termination of this Agreement

- Require the receiving party to either return or destroy all Confidential Information upon the conclusion of the Hackathon, as directed by the disclosing party

 

8.4 The obligations of confidentiality shall not apply to information that is:

(a) known to the receiving party before disclosure by the disclosing party

(b) publicly available through no fault of the receiving party

(c) rightfully received by the receiving party from a third party without a duty of confidentiality

(d) independently developed by the receiving party without use of or reference to the Confidential Information

(e) required to be disclosed by law or court order, provided that the receiving party notifies the disclosing party in advance of such disclosure

 

Governing Law and Dispute Resolution

 

9.1 This Agreement shall be governed by and construed in accordance with the applicable laws of the Emirate of Dubai and the federal laws of the United Arab Emirates.

 

9.2 In the event of any dispute arising out of or in connection with this Agreement:

(a) The parties shall first attempt to resolve the dispute through good-faith negotiations

(b) If the dispute remains unresolved after 30 days of negotiations, either party may initiate mediation

(c) If mediation fails, the dispute shall be submitted to Dubai Courts who shall have exclusive jurisdiction

 

9.3 The language of any proceedings shall be English.

 

9.4 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

 

10. Amendments and Termination

 

10.1 The Company reserves the right to modify these terms or terminate the Hackathon with reasonable notice to Participants.
